Two Types of Memberships:

1. Independent Memberships: Acquisition, Training, and Resources
​
Members work independently to acquire a company using GenX training, coaching, and other critical resources such as funding, operating executives, off market deals with cold calling. These memberships include Standard, Professional, and Ultimate (without GRI) memberships.
​
2. Collaboration Memberships: Acquisition and Roll Up Partnerships
​
Members get (A) all of the above features (except for off market deal) plus turn key collaboration, including many done-for-you (hands-off) services, on every aspect of the acquisition process, and (B) post-acquisition operations, strategic management, roll up implementation and exit for profit 2-3 years later. These memberships are those with the GRI suite of services further defined below, specifically: Acquisition Pilot Project, GenX Zero, and Ultimate (with GRI). U.S. CITIZENSHIP REQUIRED DUE TO SBA FUNDING.
STANDARD Membership ($2000): Training Course + Funding:

Product Description – The Standard Membership is for: (1) those seeking a comprehensive understanding of how to navigate buying companies, but may not necessarily be ready to do their first deal, or (2) those already comfortable with doing other kinds of deals generally, such as corporate or real estate professionals, but who want to further their understanding of M&A, and already have the skills to proceed with an acquisition without GenX coaching or other resources. Otherwise the Professional Membership is recommended which adds weekly coaching support with a seasoned expert. This same coaching may be purchased separately by monthly subscription. The Standard Membership includes the following:

Quick Start Course –Don’t let the name fool you. This 3-hour training is dense with content. It is called “Quick Start” because it was designed to give you what you need to quickly get started in the business acquisition arena without a lot of academic complexities, motivational philosophies, testimonials, or sales hype. It was designed for the listener to be equipped and confident to talk to sellers and brokers, and not get bogged down in days or weeks of study material. It focuses on the selection and analysis of businesses to acquire. It is designed to teach M&A novices the basics of purchasing a company, especially those priced under $5 million, including common issues and pitfalls. It covers the following topics:

Funding – Access to GenX lender. This is one of the best and fastest SBA funders in the nation, with the best terms available, typically: 10% down or less, close as fast as 30 to 45 days if needed. Since this is both a brokerage and direct lender, it can use its own funds for creative solutions to get deals done. Minimum requirements for this funding are (i) a credit score of 680, (ii) U.S. citizenship, (iii) no debts in default to the U.S. government, (iv) no prior bankruptcies, and (v) a minimum of $50,000 in liquid funds toward a down payment for the purchase of a company.

Standard Membership PLUS the following:

Weekly Coaching – These are 1-hour group coaching sessions via call or video. Coaching is equally as important as the training course itself. Although the training course attempts to cover the most common topics in acquiring these small companies, it is impossible to cover every scenario in 3 hours of content. The coaching provides question-based instruction to address much more specific issues on a case-by-case basis that may not be covered in the training material. Members can ask as many questions as they desire within the hour-long calls. These questions can be about the training materials or any questions or issues they encounter in their journey to buy a company. After the first 6 month, this same coaching may be purchased separately by monthly subscription and cancelled at anytime.

ULTIMATE Membership ($6000): Professional Member Features + Operating Executives + Off Market Deal Leads ($350 monthly):

Professional Membership PLUS the following:

Operating Executives – GenX hand picks and hires operating executives and/or other key management staff for Members’ acquired businesses. This is what allows the Member to own the company without operating it personally, thereby making it a hands-off opportunity. These operating executives have the expertise specifically applicable to the business and industry of the acquired company, and will replace any key personnel leaving the company upon sale.

Off Market Deal Leads - 30% off standalone price – GenX sources leads for deals that can be acquired that are not publicly listed for sale. GenX will release these off market leads to Members under this membership. These leads require evaluation by Members just as with listed deals.

Access to GenX Roll Up Insider (TM) – GenX Roll Up Insider TM is offered to Ultimate Members at 50% off ($9000) the non-member price of $18,000, and is designed specifically to create millionaire Members through profit sharing offers from GenX. GenX Roll Up Insider TM comes with many additional done-for-you features such that this product is completely passive to Members. Please see the full GenX Roll Up Insider TM product description below for more details. If GRI is purchased, then Member must meet the following qualifications:

Qualifications
​
Ideal Ultimate Members with GenX Roll Up Insider TM should have the following qualifications in order to satisfy SBA funding requirements, but some exceptions can be made on a case by case basis:
​
1) A minimum of 5-10 years of work experience in business or in managing projects or teams either as an employee or as an entrepreneur. This is really to satisfy SBA requirements, since the Member will not personally operate the target company. Rather, GenX will hire an expert CEO or COO to operate the company, who will in turn be subject to management oversight by GenX.
​
2) $100,000 liquid funds at closing as part of the purchase price of the target company (arrangements can be made for lower amount no less than $50,000). This money is not paid to GenX but to the closing agent typically selected by the bank funding the purchase. These funds may be from any source including 401k or other retirement funds. If such funds are not your own, it is recommended that the funds are in your account at least 2 months prior to closing.

(3) A personal credit score of no less than 650.
​
(4) U.S. citizenship, no defaults on federal debts or taxes, no bankruptcies, and less than 3 million in currently outstanding SBA loans.

ACQUISITION PILOT PROJECT (TM) Membership ($1700): Ultimate Member Features + GenX Roll Up Insider TM (required participation):

Product Description – The Acquisition Pilot Project (APP) is the most comprehensive membership, and includes everything GenX offers except off market deal leads. APP is the equivalent of buying the Ultimate Membership ($6000) along with the optional GenX Roll Up Insider TM (50% off price of $9000) for a total of $15,000, except for three main differences: (1) in the APP scenario GenX takes a 10% ownership stake in the Member’s newly acquired business, but zero ownership in the Ultimate scenario, (2) in the Ultimate scenario, the Member takes a larger share of GenX’s profits generated by GenX Roll Up Insider TM, i.e. 20%-80%, as compared to half of that share, i.e., 10%-40% with the APP scenario, and (3), GenX Roll Up Insider TM is optional in the Ultimate scenario, but a required part of APP which ensures that GenX earns a return on the extensive professional hours, resources, expenses, and opportunity costs that GenX invests in each APP Member free of charge. Although the price paid by Ultimate members with GenX Roll Up Insider TM doesn’t come close to paying GenX for the extensive services offered, GenX rewards Ultimate Members for recognizing the opportunity and paying for it themselves, hence they earn twice the profit share in GenX Roll Up Insider TM.

Qualifications

GENX ZERO (TM) Membership ($6500): Acquisition Pilot Project (APP) Features + Zero Down Payment to buy business:​

Product Description – GenX Zero (GXZ) is a recently added special category of APP that eliminates the minimum cash requirement of $50,000 so that Members can acquire a company with zero cash. We are able to offer this using our most recent expanded JV investor proprietary strategy. But there are tradeoffs for being able to buy a million dollar business with no money: (1) GXZ is priced at $6500, as compared with $1700 for APP, (2) since GXZ deals require a specific deal structure, it can take longer for GenX to identify a suitable deal for the GXZ Member to proceed with, which means he/she could be waitlisted for several weeks, (3) the Member gives up 20% ownership of his/her deal (and keeps 80%), as compared with 10% for regular APP Members, in order to make room for the investor who is investing the cash into the Member’s deal, and (4) the Member does not participate in GenX’s profit sharing from GRI, as compared with regular APP Members who GenX pays 10-40% in GRI profit sharing. But the GXZ Member still benefits from GRI due to the increased cash flow and equity caused by GRI, which likely equates to hundreds of thousands up to a million dollars or more in profits to the Member depending on the size of the deal. So even with the tradeoffs mentioned, GenX Zero is still a phenomenal life-altering opportunity for most corporate professionals and entrepreneurs. All other aspects of APP (features and qualifications) are still applicable to GXZ since they are the same product except for the differences specified above. The APP User Agreement also applies to GXZ.

GenX Roll Up Insider (TM) (Non-Member Purchase) ($18,000):

Product Description – This is a standalone proprietary GenX solution available to the general public outside of the Member product line. It is designed to boost the sale value of its customers’ businesses by 2-4X or more. This is accomplished by allowing customers to plug into the proprietary roll up algorithm designed and created by GenX for GenX’s own portfolio companies. GenX consolidates (rolls up) many small companies in its portfolio to create larger companies that are many times more valuable. GenX Roll Up InsiderTM (GRI) customers simply add their business to the GenX roll up portfolio while continuing to own their business’s cash flow and equity value existing at the time they join GRI. GenX takes no financial interest in a customer’s business as a result of it being added to the roll up portfolio. GenX owns only the boosted value it creates from the roll up process as demonstrated by the increased sale price above and beyond the customer’s business valuation at the time of joining GRI. GenX sets this valuation as a baseline for all businesses joining GRI to 3X EBITDA. Therefore the value created by GenX, i.e., the boosted value, is equal to the amount of any sale price exceeding the price of 3X EBITDA. It is worth noting that if GenX bought the customer's company outright from the GRI customer, GenX would keep 100% of the boosted value. But GenX’s goal is for GRI to be a vehicle that allows qualified customers to realistically profit over $1 million simply by sharing 10%-80% of the profit created and earned by GenX (see the GRI Participation Options & Profit Sharing Table below). With GRI, GenX offers at its discretion the following additional services, some of which may not be required.

Why Roll Ups? Roll ups are one of the most lucrative strategies in the M&A business, especially for small companies. It’s an advanced strategy normally impossible for entry level buyers since it requires the acquisition and management of numerous companies simultaneously. With GRI, GenX provides the “other” companies that are necessary for a roll up. The GRI participant simply adds his/her own company to GenX’s roll up portfolio, thereby resulting in a higher valuation of the participant’s business solely because of its combination with GenX’s portfolio, which is sold as a single combined company. This is the concept of “all-ships-rise-in-high-tide” in action, which creates much higher sale values for all companies combined in the sale. This is a simple explanation of the roll up strategy. In practice, there are many details to master for a successful roll up. GenX handles all the required details so that its participants can reap the rewards without the necessary hard work and expertise.
